Terms of Use
Effective date: May 25, 2026
These Website Terms of Use (“Terms”) govern your access to and use of the website operated by CarbonSilicon Labs, Inc. (“CarbonSilicon,” “we,” “us,” or “our”) at carbonsiliconlabs.com and any related pages, forms, content, or materials we make available through the site.
These Terms apply to the public website only. Consulting, development, implementation, artificial intelligence, software, data, or other professional services are governed by a separate written agreement, statement of work, data processing agreement, order form, or similar contract. If there is a conflict between these Terms and a signed written agreement with CarbonSilicon, the signed written agreement controls for that engagement.
1. Use of the Website
You may use the website only for lawful purposes and in accordance with these Terms. You agree not to:
- violate any applicable law or regulation;
- interfere with, disrupt, or compromise the security or availability of the website;
- attempt to gain unauthorized access to any system, account, data, or network;
- use automated scraping, crawling, harvesting, or similar tools except as permitted by law or by our written authorization;
- submit malware, malicious code, or deceptive content;
- impersonate another person or organization; or
- use the website in a way that could harm CarbonSilicon, our clients, our vendors, or other users.
We may suspend, restrict, or terminate access to the website if we believe a user has violated these Terms or created risk for CarbonSilicon, the website, or others.
2. Website Content
The website may include descriptions of CarbonSilicon’s services, capabilities, security practices, privacy practices, artificial intelligence workflows, case studies, articles, diagrams, frameworks, or other materials. This content is provided for general informational purposes only.
We try to keep the website accurate and current, but we do not guarantee that all content is complete, current, error-free, or suitable for your specific circumstances. Website content is not legal, financial, security, compliance, procurement, or technical advice.
3. No Professional Relationship from Website Use
Contacting us through the website, signing up for updates, downloading materials, or reading website content does not create a client, advisor, fiduciary, attorney-client, or other professional relationship with CarbonSilicon. A client relationship begins only when both parties sign a written agreement.
4. Service Descriptions and Public Claims
Public descriptions of our security, privacy, data handling, model use, human review, audit logging, retention, or artificial intelligence practices describe our practices as of the time posted and may change over time. For a specific client engagement, the applicable written agreement, statement of work, data processing agreement, AI or model-use addendum, security exhibit, or similar document controls.
5. Intellectual Property
The website, including text, graphics, logos, designs, visual elements, software, source identifiers, service descriptions, frameworks, and other content, is owned by CarbonSilicon or our licensors and is protected by intellectual property laws.
You may view, download, or print website materials for your internal evaluation of CarbonSilicon, provided you do not remove proprietary notices or modify the materials in a misleading way. Except as expressly allowed by these Terms or applicable law, you may not copy, reproduce, distribute, publicly display, modify, create derivative works from, or commercially exploit the website or its content without our written permission.
Nothing in these Terms transfers ownership of any CarbonSilicon intellectual property to you.
6. Feedback
If you provide ideas, suggestions, comments, or other feedback about the website or our services, you grant CarbonSilicon a non-exclusive, worldwide, royalty-free, perpetual, irrevocable right to use that feedback without restriction or compensation, provided we do not use your confidential information in violation of a separate written agreement.
7. Third-Party Links and Services
The website may link to third-party websites, tools, platforms, or services. We do not control and are not responsible for third-party content, policies, security, availability, or practices. Your use of third-party services is governed by their own terms and policies.
8. Privacy
Our collection and use of personal information through the website is described in our Privacy Policy.
9. Disclaimers
THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARBONSILICON DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, AND ERROR-FREE OPERATION.
We do not warrant that the website will be uninterrupted, secure, or free from viruses or other harmful components.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARBONSILICON AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE WEBSITE.
To the maximum extent permitted by law, CarbonSilicon’s total liability for claims arising out of or relating to the website or these Terms will not exceed US $100. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
11. Indemnification
You agree to defend, indemnify, and hold harmless CarbonSilicon and its officers, directors, employees, contractors, agents, affiliates, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your violation of these Terms or misuse of the website.
12. Changes to the Website or Terms
We may update the website and these Terms from time to time. The effective date above indicates when these Terms were last updated. Your continued use of the website after updated Terms are posted means you accept the updated Terms.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. The state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the website, except where applicable law requires otherwise.
